Capability 01 — Drafting

From issuer documents to a structured first draft

Prefyle drafts DRHP chapters the way an experienced analyst would on their best day: starting from the regulation's disclosure requirements, filling in the issuer's actual facts, and flagging what is missing rather than papering over it.

What it does
  • Chapter-level drafting

    Objects of the Offer, Risk Factors, and other disclosure-heavy chapters, produced section by section against the ICDR structure for that chapter.

  • Grounded in your documents

    Every factual statement is drawn from the issuer documents you upload. Where the source record is silent, Prefyle inserts a marked gap instead of a plausible guess.

  • Gap surfacing

What it refuses to do

Capability 02 — Review

A structured ICDR check on any draft

Point the review module at a draft, whether Prefyle wrote it or a person did, and it runs the document against a structured library of SEBI ICDR requirements.

What it does
  • Requirement-by-requirement check

    Each applicable ICDR provision is checked against the draft: present, absent, or present but inconsistent.

  • Cited findings

    Every flag names the regulation, schedule, or clause it comes from. Your reviewer opens the citation, reads the provision, and makes the call.

  • Cross-reference checks

    Figures and statements that appear in multiple chapters are checked against each other, because the observation letter does not care which chapter was updated last.

  • Severity ranking

    Findings arrive ordered by exposure, so a missing mandatory disclosure is not buried under formatting notes.

What carries the draft the rest of the way

Drafting and review are where the hours go. These three are what make the output usable by the firm that has to sign it.

Capability 03

Financial report summarisation

Restated financials, the auditor's report and the related schedules are read and turned into the disclosure the chapter requires. Figures are carried through rather than re-keyed, so what appears in Objects of the Offer still reconciles with the financial statements at submission.

Capability 04

Audit trail and version control

Full change history across the mandate: what version was checked, what was flagged, what was resolved and by whom. The record is built to support the BRLM's own diligence obligations rather than sit outside them.

Native writing style

Prefyle learns your firm's house drafting voice from its previous filings. What comes back reads like your team's own work, so review time goes on judgment rather than on rewriting tone.
